General Terms and Conditions for the Use of Linksav B2B Multi-Vendor Online Marketplace

1) A Linksav B2B Multi-Vendor Online Marketplace User or Member will be identified as a registered company authorised to

have access and use some or all services rendered by Linksav b2b multi-vendor online marketplace, having been qualified

as a user and having always accepted and remaining in compliance with all Linksav terms and conditions and/or all rules

pertaining to conducting any form of authorised business on Linksav web based B2B online marketplace platform.

2) Linksav provides users with online business applications, including access to making and responding to inquiries

current Services, including any new Linksav services, as well as any altered Service or feature, will be subject to the Linksav

terms and conditions.

3) To use Linksav services, users must obtain access to the World Wide Web, either directly or through devices that access

web-based content and pay any service fees associated with such access. You must provide all equipment necessary to

make such connection to the World Wide Web, including a computer and modem or other access device.

4) Linksav has the right to suspend or terminate your account and refuse all current or future use of the Service (or any

portion thereof). Linksav may also temporarily suspend any user account in the event should we, in good faith, believe

the user poses a threat to Linksav or any of its other clients business or intellectual property.

5) Linksav-capex.com may disclose Electronic Communications if required to by law or in the good faith belief that such

violate the letter or spirit of the terms and conditions; or (4) which Linksav believes in its sole discretion is not in

Linksav shall not be liable for damages or results arising from such disclosure, and Member agrees not to bring any

Linksav legally declares that under no circumstances shall it be held liable for any delay or failure or disruption of

XXVII. Jurisdiction

I. The Seller or Buyer registered on the Linksav agree that the formal agreement and/or legal contractual entered

hereinto shall be governed by laws of the republic of South Africa without regard to its conflict of law provisions;

and the parties to this agreement hereby submit to the exclusive jurisdiction of the courts of South Africa, except

as otherwise stipulated under applicable law where parties in a legal entanglement and where the act of

infringement or illegality has been committed in a foreign country.

14. Seller Company User Registration and Business Rules Requirement on the Platform

Linksav will only Allow, or Register verified sellers on its Discount Web-Based Platform.

Seller will be firstly identified as SME or Large Corporation as classified in accordance with country of registration laws.

I. Seller entity wishing to register must be a legal entity incorporated in the country in which Linksav have been

approved to operate and conduct its e-commerce online business.

II. Seller must have been in business for not less than 5 years. Supporting documentation proof will be requested.

III. Identification of Directors and signatories of Company or Business entity wishing to register will be requested.

IV. OEM Wholesalers, Distributors and Retailers wishing to register must have valid legal licences to trade, and manufacturer

licence or expressly written letters of appointment, giving legal permission to sale or distribute such products, whether

solely or through franchises or agencies.

V. Company or business entity wishing to register must use its legal name, must be valid at the time of registration and

remain valid during its membership period, and must be authorised or permitted to conduct business in prescribed

products and/or services,

must provide proof of business address with reachable telephone and email contact details: Documentation proof will be

requested.

VI. Foreign and Local Exporters will be required to indicate all types of products exported, to which sectors and to which

countries.

VII. Company or business entity wishing to register must provide valid banking account details with same banking institution

for a minimum period of not less than six months from date of registration on Linksav. A bank stamped and signed

letter of banking confirmation will be requested.

VIII. Company or business entity wishing to register must provide technical manufacture certification for product quality and/or

performance in accordance with local or international compliance standards, where such information is considered

important to buyers and/or end-users in special industrial applications. Proof of quality/performance standard

certification may be requested from government, statutory bodies or standard oversight institutes and organisations.

IX. Company or business entity wishing to register must not be facing legal encumbrances with regards to its business conduct

or operations at time of registration nor should its directors or any members of senior management be embroiled in any

legal sanctions or facing judgements or warrants of arrest arising from unethical business practices of whatsoever nature

or origin.

X. Company or business entity wishing to register must be a going concern at time of registration, should not have filed for

bankruptcy, liquidation, business rescue or be under debt administration or management control under any court orders.

XI. Company or business entity wishing to register must not have its directors or senior management with criminal records

emanating from directly or in complicity to theft by public servant, money laundering, tax invasion, selling counterfeit,

prohibited or stolen goods, corrupt business practices, fraud or business or personal misrepresentation for financial or

non-financial gains. Directors Criminal record checks will be conducted with due process for the laws to privacy adhered

XII. Company or business entity wishing to register must be compliant at time of registration to all legislative and regulatory

laws and/or compliance as stipulated by government and/or relevant regulatory bodies, institutions, or associations with

respect to products, processes, or business ethics in country of business operations.

XIII. Company or business entity wishing to register must fully understand all terms and conditions of using the Linksav Web-

based platform before registering to become a member.

15. Seller Product and Posting Rules for Linksav Platform

I. Linksav is an online business to business small group discount buying web-based platform; personal and non-business

information is prohibited.

II. Products deemed to look alike in imagery, name, or signature of organisation are prohibited, unless the products were

made or authorised by the businesses whose resemblance, image, name, or signature has been used.

III. Sellers may only list or post goods or products their business or company is specialised in and/or authorised to always

sell.

IV. The posting on Linksav website of counterfeits, non-licensed replicas, or unauthorised items is illegal, and strictly

prohibited.

V. Should items listed bear the name or logo of a company but did not originate from or were not endorsed by that

business entity, such products listing will be removed from the Linksav-capex.com Site.

VI. Display or web listing of branded products are allowed if a certificate of authorization has been issued by the brand or

patent owners.

VII. Web display or listing offers to sell or purchase replicas, counterfeits or other unauthorised items shall be subject to

immediate removal from Linksav. web platform. And immediate suspension from membership will be enforced.

VIII. The electronic display, listing or posting or sale of stolen or fraudulently obtained property is strictly prohibited on the

IX. Linksav will support any legal efforts in apprehension of any persons involved in criminal activities on its website.

16. Seller Seller and Product Identification Rules for Linksav Platform

I. All sellers should provide a company profile at registration to Linksav, detailing type of products and technical

specialization and reporting structure of their business.

II. All seller to use their legal trading identification as in names, logos, trademarks of the organisation.

III. The best part of our platform is that a seller can also register as a buyer, provided they meet all requirements of a

buyer identification on the platform. In this dual registration process, a company benefits as buyer for discounts as it

buys materials and production inputs and benefits on economies of scale on big volume sales of its products.

IV. Sellers will be identified as: Manufacture, Distributor, Supplier, Wholesaler or Retailer, Dealer, Agent, or vendor.

V. A Seller may fit in one, some or all categories. The platform makes provision for single and multi-sector Sellers

VI. Sellers who have multiple SECTOR products e.g., sales construction, mining and agricultural equipment and

machinery, will be identified in all three SECTOR categories.

VII. Sellers will be identified based on market presence: Branches or physical Business Locations within a country or

outside the country.

VIII. Sellers will be identified by the geographical market they serve. Local Market or Export Market or Both.

IX. Categorizations of Products: Seller shall upload clearly identifiable, categorized product lists based on criteria

deemed acceptable within their specific industry. Adhering to same product classifications, catalogues, part

numbers and codes, for easy and accurate search and identification of products by buyers.

X. Sellers will need to provide a comprehensive list of products they manufacture, sell, or distribute in the normally

process of fulfilling their business.

XI. Sellers will need to provide a list of products, if any, they normally export in the process of fulfilling their business.

XII. All products under subsectors industry categories must meet corresponding merchant or product qualification

benchmark requirements.

XIII. Manufacturers, Wholesalers and Distributors will be required to provide product authenticity and qualification

certificates from government or statutory regulatory authorities or institutions allowing them to engage in the

production of specified products listed or posted Linksav-capex.com. And relevant permission to engage in export

trade and having export licence for such specific categories of products.

XIV. Sellers shall provide to buyer all additional relevant information as and when requested with regards to all listed

products in Sellers’s catalogue, such as Prices with or without tax, Performance Test & Pass Certification,

Quality Standard Compliance Certification, Product Warranties and Quality Guarantees, as may be acceptable

standard procedure for specialized products in specific industries or sectors.

XV. Product packaging and labelling must be clearly visible to allow buyers verify important manufacturer instructions and

usage information.
